Seller Terms

These Seller Terms ("Seller Terms") apply to sellers who create accounts, list products, and use 2DL (2dl.app) to sell and deliver digital goods.
Seller eligibility and responsibilities
- You represent that you have authority to operate the seller account and accept these Seller Terms.
- You are responsible for your product listings, customer support, and communications.
- You are responsible for compliance with applicable laws (including consumer protection and tax laws).
- You must maintain accurate store information, including domain configuration where applicable.
Taxes and reporting
- You are responsible for determining, collecting, reporting, and remitting any applicable taxes.
- We may collect tax-related information (for example, tax forms) and may provide required reporting to payment providers or tax authorities as applicable.
Digital goods, licensing, and delivery
- You represent and warrant that you own or have sufficient rights and permissions to distribute the digital goods you sell, and that your listings and delivery do not infringe any third-party rights.
- You are responsible for describing what buyers receive (license vs ownership, restrictions, and terms).
- Delivery, access links, licenses, and updates may be provided through 2DL infrastructure; you remain responsible for fulfillment obligations.
Refunds, disputes, and chargebacks
- You are responsible for defining and honoring your refund policy, subject to applicable law.
- You are responsible for dispute/chargeback outcomes, including any chargeback fees, refunds, reversals, or negative balances, as determined by the payment provider and the payment configuration.
- Disputes and chargebacks may result in access revocation or temporary restriction of delivery while investigated.
- You authorize 2DL and its payment providers to share relevant transaction and delivery data to help resolve disputes.
Platform fees and changes
- 2DL may charge platform fees and/or subscription fees for use of the service.
- Fees may change over time; changes generally apply prospectively. For material fee increases, we will generally provide advance notice (for example, at least 30 days), unless a shorter timeline is required for legal, compliance, security, or operational reasons.
- If you do not accept fee changes, your remedy is to stop using paid features and/or close your seller account.
Stripe Connect and payments
Payments are processed by third-party payment providers (for example, Stripe). If 2DL uses a connected-account model (for example, Stripe Connect), you must complete onboarding and maintain an eligible payout account. Your use of the payment provider is subject to its terms.
Security and data obligations
- You must safeguard API keys, tokens, and admin credentials, and you are responsible for actions taken using them.
- You must not share credentials publicly or embed secret keys in client-side code.
- You must promptly notify 2DL if you suspect unauthorized access to your account or store.
Payout timing, holds, and reserves
Payout timing may depend on payment provider rules, banking rails, risk signals, disputes, refunds, and compliance requirements. To protect buyers and the platform, 2DL may delay, hold, reserve, or pause payouts in cases of suspected fraud, elevated dispute rates, policy violations, or legal/compliance risk.
Fraud, abuse, and selling pauses
- You must not attempt to manipulate attribution, rewards, refunds, disputes, or platform metrics.
- We may pause sales, disable listings, require additional verification, or restrict features to prevent fraud or abuse.
Content rules and takedowns
You must comply with the Acceptable Use Policy. We may remove or disable access to content that we reasonably believe violates our policies or applicable law.
Data use and analytics
We may use seller and transaction data to operate the platform, provide reporting, prevent fraud/abuse, and improve 2DL. We may also use aggregated and de-identified data for analytics and business purposes.
Indemnification
You will defend, indemnify, and hold harmless 2DL and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to your products, listings, content, customer communications, refund/dispute handling, or violation of law.
Termination and suspension
We may suspend or terminate seller accounts, pause sales, or restrict functionality if we reasonably believe you have violated these Seller Terms, the Platform Terms, the Acceptable Use Policy, or created risk for users or the platform.
Termination consequences
If your seller account is suspended or terminated, we may disable new sales and/or delivery links, revoke access to seller dashboards, and pause payouts as necessary for security, compliance, disputes, refunds, or investigations.
We may retain certain records (for example, orders, invoices, and audit logs) as required for legal, accounting, and dispute resolution purposes. Promotional credits or program rewards may be forfeited if we reasonably determine there was fraud, abuse, or policy violations.
Seller support and appeals
If you believe an enforcement action was taken in error, you may contact us at 2download@2dl.app with relevant details. We may request documentation or additional information. We do not guarantee reinstatement.
Relationship to other terms
These Seller Terms supplement the Platform Terms of Service, the Privacy Policy, and other policies. If there is a conflict, these Seller Terms control for seller-specific matters.
