These Terms of Service ("Terms") govern your use of 2dl.app and related services ("2DL"). By using 2DL, you agree to these Terms.

Service description

2DL provides tools for sellers to deliver digital products, licenses/entitlements, and updates to buyers.

Marketplace model

2DL is a platform. Sellers sell their own products to buyers. Payments are processed by third-party payment providers (for example, Stripe) and may be processed as part of a marketplace/connected-account model.

Accounts and responsibilities

  • You are responsible for maintaining the security of your account.
  • You agree not to misuse the service or attempt unauthorized access.
  • You are responsible for the accuracy and legality of content you distribute using 2DL.

Eligibility

  • You must be at least 13 years old to use 2DL.
  • If you are under the age of majority where you live, you may use 2DL only with the consent of a parent or legal guardian, and your parent or legal guardian agrees to be responsible for your use of 2DL.
  • If you are using 2DL on behalf of a business or other entity, you represent that you have authority to bind that entity to these Terms.

Acceptable use

You may use 2DL only for lawful purposes and in compliance with our Acceptable Use Policy: 2dl.app/acceptable-use.

Payments

Payments may be processed by third-party providers (for example, Stripe). Your use of those providers is subject to their terms.

Subscriptions and add-ons

Some features may be offered as subscriptions or add-ons (for example, storage add-ons). Subscription billing, invoicing, cancellations, and changes are handled through our payment provider (for example, Stripe) and generally take effect according to the provider’s billing period and rules.

Usage limits and enforcement

Plans may include usage limits (for example, file size limits and storage limits). If you exceed applicable limits, we may block uploads, restrict access to features, or take other actions necessary to enforce limits and protect the service.

Credits

If 2DL issues credits (for example, promotional credits or affiliate credits), credits are not cash, have no cash value, are not redeemable for cash (unless explicitly stated by 2DL in writing), and may be subject to additional restrictions or expiration.

Suspension and termination

We may suspend or terminate access to 2DL if we reasonably believe you have violated these Terms, abused the service, or created risk for other users.

Availability and changes

We may modify or discontinue parts of the service at any time. We do not guarantee uninterrupted availability.

Warranty disclaimer

To the maximum extent permitted by law, 2DL is provided on an "as is" and "as available" basis. We disclaim all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, 2DL and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business interruption, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to 2DL is limited to the greater of (a) $100 or (b) the amounts paid by you to 2DL (excluding amounts paid to sellers) in the 12 months before the event giving rise to the claim.

Indemnification

You will defend, indemnify, and hold harmless 2DL and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of 2DL, (b) your content or products, (c) your violation of these Terms or applicable law, or (d) your infringement of any intellectual property or other rights.

Dispute resolution (binding arbitration; class action waiver)

Please contact us first at 2download@2dl.app so we can try to resolve a dispute informally.

Unless prohibited by law, any dispute, claim, or controversy arising out of or relating to these Terms or 2DL will be resolved by binding arbitration on an individual basis, and not in a class, consolidated, or representative action. The arbitration will be administered by the American Arbitration Association (AAA) under its applicable rules. Either party may bring an individual claim in small claims court if the claim qualifies.

You and 2DL agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

Governing law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles, subject to mandatory local consumer protection rules where they apply.

Jurisdiction

To the extent a dispute is not subject to arbitration (or where arbitration is prohibited by law), you agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Delaware.
